UK business sales: legal responsibilities to check
A starting map of employee transfers, data protection, company records and regulatory boundaries for business sales.
Match the rules to the deal structure
A share transaction and an asset transfer can create different tax, employment and contractual issues. Set the structure with your solicitor and accountant. UK nations can also have different legal processes. This guide is a route to official information, not a conclusion about your particular transaction.
Employees and transfers
TUPE may protect employees where a business or service transfers. GOV.UK explains the conditions and employer responsibilities. Assess whether it applies before agreeing handover dates or staffing changes. Do not assume that a contract label settles the question.
Personal information is part of the diligence plan
Customer and employee information can contain personal data. Identify a lawful basis for disclosure, limit what is shared and control access. An NDA does not by itself create a lawful basis under data protection law. Ask advisers how to handle data during diligence and at completion.
Company records and regulated activities
Check company filings and charges, authority to sell and any required third-party consents. Financing or investment-related introductions can bring separate regulatory questions. Verify the relevant provider and permissions rather than assuming that a marketplace listing is an endorsement.
