Terms of Service
The rules for using the public marketplace, your account and the paid community.
1. The service and contact
EBITDA Market is a business advertising, information and introductions platform. Contact ebitda@mailfence.com about these terms, an account or a complaint. We do not buy or sell the advertised businesses, hold acquisition deposits or guarantee completion. A listing is an invitation to discuss an opportunity, not a binding offer from us.
2. Accounts and authority
You must be 18 or over and able to enter into an agreement. Provide accurate identity and contact information, keep your sign-in secure and tell us promptly about unauthorised use. If acting for a company or client, obtain authority before publishing information or making commitments. Do not impersonate another person or imply professional permissions you do not hold. We may ask for evidence where relevant.
3. Free marketplace and paid community
Public listing browsing and the instant valuation calculator are free. An account is required for saved businesses, enquiry records and introduction records. The entire community, including discussions, groups, the member directory and full specialist profiles, requires an active paid community membership. Listing plans and advertising are separate products and do not unlock the community. A payment never grants access to a seller’s confidential documents.
4. Orders, prices and renewal
Paid products can only be purchased when checkout is enabled. The checkout must identify the product, currency, price, applicable tax, billing interval and any renewal before you commit. Do not treat a displayed plan or disabled button as a completed order. A recurring community subscription renews on its stated interval until cancelled. Manage billing and cancellation through the community membership controls, or contact support if you cannot access them. Price changes must be communicated before applying to a later billing period.
5. Listings and enquiries
Advertisers are responsible for having authority to advertise, accurate descriptions, current status and permission to use all images and documents. Do not publish misleading financials, prohibited financial promotions, confidential data or material that infringes another person’s rights. Enquiries submitted on the platform are recorded for review; receipt is not proof of delivery to an advertiser or a promise of a response. Confidentiality acknowledgement is not a substitute for any separately required NDA. We may request clarification, restrict access or remove content with a reasonable basis.
6. Introductions and fees
An introduction record provides a dated account reference only. It is not a signed mandate, fee agreement, priority claim, escrow arrangement or guarantee against circumvention. Agree the paying party, authority, fee calculation, scope, trigger, exclusions, duration and disputes in a separate written agreement before disclosure. Illustrative fee calculators do not offer a commission. We are not responsible for paying third-party introduction fees unless we separately accept that obligation in writing.
7. Community and specialists
Keep discussions relevant, lawful and respectful. Do not scrape profiles, mass-message members, harass people or share their details without permission. First contributions may require moderation. Directory inclusion is opt-in; specialist approval is limited to the checks described and is not an endorsement of future work or an assurance of regulatory authorisation. Specialist services require a separate scope, fee and engagement. Contact details for a requested introduction are shared after acceptance. Membership does not guarantee a particular contact, lead, response or transaction.
8. Advice and independent checks
Our guides, calculators, listings and discussions are general information. They do not provide a formal business valuation, legal, tax, investment or lending recommendation. Instruct qualified advisers and verify identity, authority, finance, documents, liabilities and regulatory permissions before committing. We do not authorise members to carry on regulated activities or promote restricted investments. See the business sales, due diligence and introducer-fee notices.
9. Content rights and confidentiality
You retain rights in material you provide and grant us permission to host, display and process it for the relevant platform feature. This permission does not authorise unrelated sale of your private contact data. Respect our branding, software and third-party rights. Do not republish private community discussions or confidential documents. Keep your own copies of important agreements; a platform record is not your only evidence store.
10. Availability, moderation and closure
We work to keep the service usable but do not promise uninterrupted availability. Maintenance, third-party faults and security measures may interrupt access. We may restrict an account or content for fraud, unlawful conduct, serious misuse or a material breach, using proportionate steps and notice where practicable. Email support to challenge a moderation decision or request account closure. Billing cancellation and data deletion are separate requests; statutory retention and third-party transaction records may still apply.
11. Liability and statutory rights
Nothing excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or liability that cannot lawfully be limited. If you use the service as a consumer, your statutory rights and mandatory protections remain. For business use, subject to those exceptions, we do not accept responsibility for indirect losses or profits lost on a transaction between other parties; our aggregate liability for the relevant service is limited to the fees you paid us for it in the preceding 12 months. This limit does not override a liability that law prevents us limiting.
12. Complaints, changes and governing law
Send complaints with your account email, references and the outcome requested to ebitda@mailfence.com. We will investigate and respond without promising an unsupported resolution deadline. Material changes to paid-service terms will be communicated before they take effect; updates do not retroactively create new fee obligations. These terms use the law of England and Wales. Consumers retain any mandatory rights to rely on the law and courts of their home jurisdiction. Transactions between users need their own governing-law and dispute terms.
